  1. INTRODUCTION

    The Nigerian Consumer Credit Corporation (CREDICORP) is a Development

    Finance Institution established by the Federal Government of Nigeria to

    democratize access to consumer credit for the nation's working population. It

    aims to accelerate consumer credit access to 50% of economically active

    Nigerians by 2030 by removing structural and market barriers and catalyzing

    the industry with capital, guarantees, and policy.

    “CREDICORP” invites applications along with fee quote from Legal firms with

    current experience of handling similar services, preferably in a Development

    focused institution.



PROJECT DESCRIPTION

Engagement of Legal Consultant for Legal Due Diligence and Enhanced

Due Diligence Services




  1. SCOPE OF SERVICE

The selected consultant will be responsible for end-to-end design,

development, and implementation of the following frameworks:

  • Legal Due Diligence (LDD)

    1. Corporate and legal status verification of PFIs, vendors, and partners.

    2. Review of incorporation documents, regulatory licenses, litigation history,

      and corporate filings.

    3. Assessment of board structure, shareholder composition, and beneficial

      ownership.

  • Enhanced Due Diligence (EDD)

    1. Deep dive investigations into entities flagged for higher risk (e.g., politically

      exposed persons, complex shareholding structures).

    2. Review of anti-money laundering (AML) compliance policies and

      procedures.

    3. Public domain checks, sanctions screening, and adverse media reporting.

  • Regulatory Compliance and Risk Advisory

    1. Advising on identified legal and compliance risks.

    2. Recommending mitigation steps, contractual protections, or disqualification

      of counterparties where appropriate.

  • Documentation and Reporting

    1. Preparation of comprehensive legal due diligence reports for each entity

      reviewed.

    2. Presentation of findings and red flags to internal governance and risk

      committees.

    3. Maintenance of a due diligence register and periodic update mechanisms.



  1. AMENDMENT OF RFP DOCUMENT

CREDICORP reserves the sole right to include any addendum to this entire

selection process.


  1. ELIGIBILITY CRITERIA

Interested firms shall submit the following minimum verifiable requirements to

be eligible for engagement consideration:

  • Evidence of Certificate of Incorporation with the Corporate Affairs

    Commission (CAC) including Form CAC 2 and CAC 7.

  • Evidence of Company Income Tax Clearance Certificate for the last

    three (3) years. (2022, 2023 & 2024) valid till 31st December, 2025.

  • Evidence of Current Pension Compliance Certificate valid till 31st

    December, 2025.

  • Evidence of Current Industrial Training Fund (ITF) Compliance Certificate

    valid till 31st December, 2025.

  • Evidence of Current Nigerian Social Insurance Trust Fund (NSITF)

    compliance Certificate valid till 31st December, 2025;

  • Evidence of Registration with the National Database of Federal

    Contractors, Consultants and Service providers by submission of Interim

    Registration Report (IRR) or valid Certificate issued by Bureau of Public

    Procurement.

  • Evidence of Professional Qualifications and License

  • Sworn affidavit disclosing that the Bidder is neither in receivership nor a

    subject of insolvency/bankruptcy/winding up proceedings.

  • Company Audited Statement of Accounts for the last three (3) years

    (2022, 2023 & 2024)

  • Evidence of Financial Capability to execute the assigments

  • Company’s Profile, including current evidence of registration of both the

    company and key personnel with relevant professional bodies.

  • Verifiable documentary evidence of at last three (3) similar jobs

    executed in the last five (5) years including engagement letters.

  • Consent to allow for Verification of all the documents submitted

    including CAC, Federal Inland Revenue, Pension & Industrial Training

    Fund and Company’s financial standing with bankers.

  • For Joint Venture/Partnership, Memorandum of Understanding (MoU)

    should be provided (CAC, Tax Clearance Certificate, Pension

    Compliance Certificate, ITF Compliance Certificate, NSITF Compliance

    Certificate, IRR & Sworn Affidavits are compulsory for each JV partner).g)

    All documents for submission must be transmitted with

    Covering/Forwarding letter under the Company/Firm’s Letter Head

    Paper bearing amongst others, the Registration Number (RC) as issued

    by the Corporate Affairs Commission (CAC), Contact Address,

    Telephone Number (preferably GSM No), and e-mail address. The

    Letterhead Paper must bear the Names and Nationalities of the Directors

    of the Company at the bottom of the page duly signed by the

    authorized officer of the firm.


  1. SUBMISSION OF EOI DOCUMENTS /RFP

The Submission of EOI/Request for Proposal shall be presented in a PDF

file format and submitted via email.


  1. Fee Quote

Firms shall also submit composite fee quote for the assignments mentioned.


  1. OPENING OF EOI AND RFP

The EOI documents and RFQ shall be opened immediately after the deadlines

for submissions at CREDICORP Head Office, by 12:00 noon on 21st August, 2025.

Bidders are all invited to witness the process.



  1. GENERAL INFORMATION

    1. Request for Proposals must be in English Language and signed by an

      official authorised by the bidder.

    2. Request for Proposals shall not be accepted after the deadline.

    3. The CREDICORP is neither committed nor obliged to shortlist any firm.

    4. The CREDICORP will only recognize and correspond with only authorised

      officers of the applicant’s companies and NOT through individuals or

      agents acting on their behalf.

    5. This advertisement for invitation shall neither be construed as a

      commitment on the part of the CREDICORP nor shall it entitle any

      contract to make any claims whatsoever and /or seek any indemnity

      from the CREDICORP.

    6. Submission with false document is an offence, which will lead to

      disqualification and prosecution.

    7. The applicants shall bear all costs associated with the preparation and

      submission

    8. The Applicant is expected to examine all instructions, forms, terms, and

      specifications in this RFP. Application shall be deemed to have been

      done after careful study and examination of this RFP with full

      understanding of its implications.

    9. The information contained in this Request for Proposal (RFP) document

      or information provided subsequently to applicants, is provided to the

      applicant(s) on the terms and conditions set out in this RFP document

      and all other terms and conditions subject to which such information is

      provided.

    10. CREDICORP is not bound to pre-qualify/shortlist any firm and reserves the

      right to annul the Procurement Process at any time without incurring any

      liabilities in accordance with Section 28 of the Public Procurement Act

      2007.
